Mile High Photos - Standard License Agreement

This is a license agreement ("agreement") between you and Mile High Photos that explains how you can use content that is licensed from Mile High Photos. Please read this agreement before downloading any content from Mile High Photos. By downloading content from Mile High Photos, you accept the terms of this License Agreement.

Mile High Photos reserves the right to change the terms of this agreement at any time. If and when such changes occur notification will be provided to you.

1. General Terms

All content on the Mile High Photos website is subject to copyright laws. Mile High Photos own all rights to the content.

This is a single seat license granting one person the right to license, download, and use the content. If you require multiple users to license content, please contact Sunshine at Mile High Photos.

2. Usage Rights

Mile High Photos grants you the perpetual, non-exclusive, non-transferable right to use and reproduce content in the following ways and subject to the limitations set forth in section 3 hereof.

 Usage Rights:

• Use the content in any electronic media including but not limited to websites, online advertising, social media, blog posts, e-publications, web applications, software, and film and television production.
• Use the image in any print media for editorial or advertising purposes including but not limited to pamphlets, brochures, newspapers, magazines, books.  
• Use the image for product packaging. 
• Back up, copy, or print the content for personal use. Any digital image copies must include the image's       digital copyright information. (Final images do not include the watermark) 
• Modify or alter the content provided that the rights to all derivative work belongs to Mile High Photos. 
• You may transfer these rights to your employee or subcontractor, provided that these rights are used solely in a final product published by you.

3. Restricted Uses

• ​No Unlawful Use - You may not use the content in any pornographic , defamatory, obscene, illegal, or considered libelous way.
• Portray any person "model" in an offensive way - You may not use any content that depicts any person or entity in connection with adult entertainment, advertising for addictive substances, political endorsements, as suffering from a physical or mental ailment, or engaging in a criminal or immoral activities.
• Products for resale - You may not use content in connection with any goods intended for resale where the primary value lies in the content itself, including but not limited to calendars, cards, stationary, mugs, postcards, teeshirts, software, mobile applications,  and more.  This also includes "on demand" products.
• Resell, share, or sub-license -You may not resell, redistribute, provide access to, share, or sublicense any content except as specifically provided herein.
• Use content as a logo - You may not use any content as part of a logo, trademark, business name, service mark, etc.
• Infringe on a 3rd party rights -You may not use content in a manner such that it infringes upon a third party's copyright, trademark, or other intellectual property.

4. Photo Credits

If you are using the content for editorial purposes you must include a photo credit by SunshineHebert/azmilehighphotos.com. In the event of content used for editorial film, such as documentary reasonable effort should be made credit Mile High Photos.

​5. Warranties 

Mile High Photos makes no warranties with respect to the use of any names, trademarks, service mark, logotypes, copyrighted designs or works of art or architecture depicted in any Content. It is your responsibility to assure that all necessary rights, consents, or permissions that may be required for your use of any Content are obtained.
Mile High Photos does not warrant that the image will meet your requirements or that its use will be uninterrupted or error free. 

6. Liabilties

Mile High Photos shall not be liable to you or to any other person or entity for any general, punitive, consequential or incidental damages, or lost profits or any other damages, or costs or losses arising out of your use or inability to use the content, even if Mile High Photos has been advised of the possibility of such damages, or for any claim by any other party.

​7. Arbitration

This Agreement shall be governed, interpreted and enforced in accordance with the laws of the State of Arizona. Any claim or litigation arising out of this Agreement or its performance may be commenced only in courts physically located in Yavapia County, Arizona, and the parties hereby consent to the personal jurisdiction of such courts. In the event of any litigation arising out of or relating to this Agreement, you agree to reimburse  Mile High Photos for its legal fees, costs and disbursements if Mike Small Photography LLC is successful.

​8. Licensing Entity

The licensing entity under this agreement is determined based on your billing address and shall written on your invoice.
